When considering a cease and desist letter, you should also consider that litigation may ensue, even if that is not your desire. While you may hope that the other party does as you demand or opens up a dialog for settlement, you should always plan for the worst. A cease and desist letter could provide a basis for the other party to file a lawsuit against you, seeking a declaration from the court that the activities complained of in the letter do not amount to infringement (a "declaratory judgment" action). Even if the other party does not file an action, you need to be prepared to if the other party does not respond favorably. Failure to do so could jeopardize your rights later on. You should be clear with your attorney from the outset what your ultimate goals are, and if you are not ready, willing, and able to assume the costs of a cease and desist letter, you certainly are not ready to take the necessary legal action to enforce your rights if the other side refuses to comply.

My approach when writing a cease and desist letter is to overwhelm the other side with cited authorities. When using the authorities, I concentrate on facts that are similar to your situation and use foreboding language to suggest that the law is clearly in your favor. At the very least, the other side may wish to clarify its actions but very likely will not file a declaratory relief action at the outset (since there is no monetary gain in doing so). Depending on the client, I may also attach a "draft complaint" that would otherwise be filed if compliance is not obtained. I propose a fairly lengthy letter setting forth the facts afoot and compare the conduct to settled case law as if to demonstrate that the failure to comply will have the same results. I am dubious of other bidders claiming that they can write such a letter within the given budget. This letter requires a fairly extensive recitation of facts and some legal research to ensure good case (law) is referenced. A good lawyer (in California) charges $450 per hour. It would take me at least two - three hours to put together a good letter. If you choose a bidder that goes soft in such a letter, you may not like the results or the response you get from the other side. I have 25 years experience handling business litigation involving confidentiality and competition claims. Cease and desist matters are my bailiwick.
