For example, you should include a discussion of whether the deal should be structured as a joint venture, an acquisition or merger, a licensing arrangement and/or a distributorship. Your description of the structure should be thorough enough that your client will understand what legal aspects of the structure need to be considered. In that regard, you need provide enough information that will allow your client to make an informed decision later on. Your explanation needs to be specific to the facts of this proposed transaction.
You should also include a list of all important non-structural issues raised by the case study. For example, you might want to list how the facts of the case study raise specific antitrust, regulatory, environmental, labor, employment, export-import, commercial, anti-bribery, or other legal issues. You do not need to explain each issue in detail, but only identify it.
